Agreement to Terms

These Terms of Service (the "Terms") govern your access to and use of the website located at vareniclinerx.com and any content, functionality, and services offered on or through it (collectively, the "Service"), operated by Varenicline Rx. By accessing or using the Service, you agree to be bound by these Terms and by any policies referenced herein. If you do not agree, you must not access or use the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL VARENICLINE RX, ITS OWNER, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VARENICLINE RX’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID (IF ANY) TO VARENICLINE RX FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations of liability; in such jurisdictions, the foregoing limitations apply to the fullest extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless Varenicline Rx, its owner, affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, and agents, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your use of the Service, your User Content, or your violation of these Terms or applicable law.

Governing Law; Dispute Resolution; Arbitration Agreement

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the Commonwealth of Massachusetts and the United States, without regard to conflict of law principles.

Informal Resolution

Before commencing formal proceedings, you agree to try to resolve any dispute informally by contacting us at [email protected]. If a dispute is not resolved within 30 days of our receipt of your notice, either party may pursue the dispute as set forth below.

Binding Arbitration and Class Action Waiver

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding, individual arbitration under the Federal Arbitration Act. Arbitration shall take place in Norfolk County, Massachusetts, before a single arbitrator, and the language of the arbitration shall be English. YOU AND VARENICLINE RX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

Notwithstanding the foregoing, either party may bring an individual action in small claims court within its jurisdictional limits, or seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.

Opt-Out of Arbitration

Your opt-out notice must include your name, contact information, and a clear statement that you wish to opt out of arbitration.

Termination

Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall survive, including those relating to intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.

You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirements that such communications be in writing.
